1. Acceptance of Terms

By accessing or using Paylancer ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

These Terms constitute a legally binding agreement between you and Paylancer. We reserve the right to modify these Terms at any time, and will notify you of material changes.

2. Description of Service

Paylancer is a SaaS platform that provides automated invoicing, payment processing, and client management services for freelancers and consultants. Our Service includes:

  • Automated invoice generation and delivery
  • Payment link integration with Malaysian payment gateways
  • Client and retainer management
  • Payment reminder automation
  • Revenue tracking and reporting
  • PDF invoice generation

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. You represent that all information provided during registration is accurate and complete.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

4. Subscription and Payment

4.1 Pricing

Our pricing plans are available on our website. We reserve the right to change pricing with 30 days notice. Existing subscribers will be notified before any price changes affect their subscription.

4.2 Billing

  • Subscriptions are billed monthly or annually in advance
  • All fees are in Malaysian Ringgit (MYR) unless otherwise stated
  • Payment is due upon invoice receipt
  • Late payments may result in service suspension
  • Failed payments will trigger automated retry attempts

4.3 Refunds

We offer a 14-day free trial. After that:

  • Monthly subscriptions: Pro-rated refunds within first 7 days
  • Annual subscriptions: Pro-rated refunds within first 30 days
  • No refunds for service abuse or Terms violations
  • Refunds processed within 14 business days

4.4 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • Service continues until the end of the current billing period
  • No refunds for unused time in the current period
  • Data is retained for 30 days after cancellation
  • You can export your data before cancellation

5. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose
  • Violate any laws, regulations, or third-party rights
  • Send spam or unsolicited communications through our Service
  • Engage in fraudulent invoicing or payment activities
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer, decompile, or disassemble our Service
  • Use automated tools to access the Service without permission
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or harmful content
  • Impersonate others or provide false information

6. Intellectual Property

6.1 Our Property

All content, features, and functionality of our Service, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of Paylancer and are protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain all rights to content you upload to our Service (invoices, client data, etc.). By using our Service, you grant us a license to use, store, and process your content solely to provide our Service.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about our Service become our property and may be used without compensation to you.

7. Service Availability

7.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance (with advance notice)
  • Emergency maintenance
  • Third-party service failures
  • Force majeure events

7.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

8. Third-Party Services

Our Service integrates with third-party providers:

  • BayarCash: Payment processing (subject to their terms)
  • Supabase: Data storage and authentication
  • Resend: Email delivery services

Your use of these third-party services is subject to their respective terms of service. We are not responsible for third-party service failures or changes.

9. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our Service, you agree to our Privacy Policy.

9.1 Data Backup

While we perform regular backups, you are responsible for maintaining your own backups of critical data. We recommend exporting your data regularly.

9.2 Data Retention

After account deletion:

  • Account data is retained for 30 days
  • Financial records retained for 7 years (tax compliance)
  • Anonymized analytics may be retained indefinitely

10. Limitation of Liability

To the maximum extent permitted by law:

  • We provide the Service "as is" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to fees paid in the 12 months before the claim
  • We are not liable for lost profits, data loss, or business interruption
  • We are not liable for third-party actions or services

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Paylancer, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or data

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Malaysia, without regard to conflict of law principles.

12.2 Dispute Process

In case of disputes:

  1. Contact us first to resolve informally
  2. If unresolved within 30 days, proceed to mediation
  3. If mediation fails, disputes will be resolved through arbitration in Malaysia
  4. Arbitration decisions are final and binding

12.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts in Kuala Lumpur, Malaysia.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paylancer regarding the Service and supersede all prior agreements.
